VIP Services Terms of Purchase

This Client Agreement (this “Agreement”), dated as of the date of paid invoice or order processed by Client (the “Effective Date”), is by and between Liz Lewis (“Provider”) and the Client (“Client” and together with Provider, the “Parties”, and each a “Party”).

WHEREAS, Provider has the capability and capacity to provide certain Tech Services; and

WHEREAS, Client desires to retain Provider to provide said services, and Provider is willing to perform such services under the terms and conditions hereinafter set forth;

NOW, THEREFORE, in consideration of the mutual covenants and agreements hereinafter set forth and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Provider and Client agree as follows:

SERVICES

Provider shall provide to Client the services (the “Services”) set out in the statement of work, which is attached hereto as Exhibit A (the “Statement of Work”). The Statement of Work shall not be modified or expanded except by written agreement of the Parties.

Client is to complete the VIP Tech Questionnaire and submit any necessary files, images, etc no later than 5 full days prior to the scheduled VIP date. Failing to do so will require the Client to use their one (1) allowed opportunity to reschedule their VIP date.

PAYMENT, FEES, EXPENSES

This purchase is non-refundable and non-transferable but may be changed to another date one time with 7 days prior written notice. If the Client gives notice expressing the desire to reschedule, the original payment/deposit may - at the Provider’s discretion - be applied to a new booking at the current intensive rate, which may or may not be higher than the original booking rate.

Client has 14 calendar days to reschedule from date of notification. Example scenario: You are schedule for the 10th, you send written notice on the 2nd that you need to reschedule. Client has a total of 30 days from the 2nd, to reschedule their new VIP Day date.

In the event that Client fails to make any payment required by this Agreement, Provider shall immediately cease all work until payment is made.

PUBLICITY

The Client agrees to allow the Provider to use their business name, logo, and/or images (excluding any contact or personal information, or revenue figures) in the Provider's advertising or promotional materials, including articles, blog posts, and other content related to the Client and the services provided. The Client retains some control over how and when this information is used, being able to request the Provider to delay use, choose the display method, or pick the release timing. By agreeing to these terms, the Client acknowledges that the Provider using their name and logo as authorized won't lead to any legal issues for the Provider.

EXIBIT A - STATEMENT OF WORK

During the VIP Day, Provider agrees to devote up to 6 hours on assignments to be determined by Client. Client agrees to provide the work detailed and ranked by priority in the days leading up to the Intensive. VIP Day Pro Plan will receive any SOPs on Loom video recordings. VIP Day Standard Plan will receive a check list of work completed.

Client understands and agrees to be available during the date and time of the scheduled VIP Day.

Work will be performed remotely between the hours of 9am - 3pm Eastern Time on the scheduled date. Upon completion of the VIP Day Provider will offer 1 weeks (7 calendar days) post VIP Day chat support.

During the 7 days of post VIP Day support, the Client will be able to message the Provider with any questions or concerns about the work that was performed during the VIP Day, and will receive a reply via chat. This support does not cover additional work that exceeds what was done during the VIP Day. If the Client has additional work that needs to be performed, Client will have the option to book another day or half-day.

Any files related to the project will be shared with the Client through Google Drive, Loom, Canva or chat on the VIP date. Client is responsible for saving any files by downloading to their own device or making their own copy in their Google Drive, including any video tutorials created by Provider. Requests to the Provider for files to be re-sent cannot not be guaranteed.
